Please read these Terms and Conditions carefully before using the Octave Bay website or engaging our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.

1. Definitions

In these Terms and Conditions:

• "Octave Bay" refers to the consulting practice trading as Octave Bay, located at 233 Sukhumvit Soi 31, Khlong Tan Nuea, Watthana, Bangkok 10110, Thailand.
• "Services" refers to sales enablement consulting engagements offered by Octave Bay, including Sales Process Sessions, Sales Playbook Projects, and Sales Enablement Advisory.
• "Client" refers to any individual or organisation that engages Octave Bay for Services.
• "Website" refers to the website operated at octavebayx.info.
• "Agreement" refers to these Terms and Conditions together with any specific engagement scope agreed in writing.

2. Acceptance of Terms

By using this Website or engaging our Services, you confirm that you are at least 18 years of age and have the legal capacity to enter a binding agreement. If you are acting on behalf of an organisation, you confirm you have authority to bind that organisation.

3. Service Description

Octave Bay provides B2B sales enablement consulting including process mapping, playbook development, and advisory services. All Services are professional advisory and educational in nature. We do not provide legal, financial, or regulated advice. Outcomes described in our materials are for illustrative purposes and are not a commitment to specific results.

Services are available to clients based in Thailand and, where operationally feasible, to clients based elsewhere in Southeast Asia on a remote basis.

4. Service Agreements

All consulting engagements commence upon written agreement of scope and price. Written confirmation by email constitutes a binding engagement. Scope changes require written agreement from both parties before additional work commences.

5. User Responsibilities

When using the Website or engaging our Services, you agree to:

• Provide accurate information when submitting enquiries or entering a service agreement
• Cooperate reasonably with our consultants to enable delivery of Services
• Not use the Website for any unlawful purpose
• Not attempt to interfere with the operation or security of the Website
• Not reproduce or distribute our materials without written permission

6. Intellectual Property

All content on the Website — including text, layout, and branding — is owned by Octave Bay or its licensors and is protected under applicable Thai and international intellectual property law. You may not copy, reproduce, or distribute Website content without prior written consent.

Deliverables produced for a Client under a service agreement are provided for that Client's internal use. Clients may adapt and update deliverables for their own operations. Redistribution to third parties or use for commercial resale requires prior written consent.

7. Payment Terms

Fees for each engagement are quoted in Thai Baht (฿) and confirmed in writing before work begins. Payment terms are agreed individually but are typically:

• Process Session: full payment before session date
• Playbook Project: 50% at commencement, 50% on delivery
• Advisory: monthly in advance

Invoices are issued in Thai Baht. Late payment may result in suspension of Services. We do not accept payment in cryptocurrency or unregulated instruments.

8. Cancellation and Refunds

• Process Session: Full refund if cancelled more than 5 business days before the scheduled date. 50% refund if cancelled within 5 business days.
• Playbook Project: Upfront deposit is non-refundable once discovery sessions have commenced. Work completed to date will be billed proportionally.
• Advisory: Either party may end the arrangement with 30 days written notice. No refund for the current month in progress.

9. Confidentiality

Both parties agree to treat information shared during an engagement as confidential. Octave Bay will not share Client information with third parties except where required by law or with explicit written consent from the Client.

10. Disclaimers

Services are provided on a professional best-efforts basis. Octave Bay does not represent or warrant that any particular outcome will result from our advisory. Sales performance depends on many factors outside our control, including market conditions, team execution, and buyer behaviour. Nothing in our materials constitutes a promise of specific results.

The Website is provided "as is". We make no warranty that it will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the extent permitted by Thai law, Octave Bay's total liability to a Client in connection with any engagement shall not exceed the fees paid by the Client for that engagement in the preceding three months. We shall not be liable for any indirect, consequential, or special loss.

12. Indemnification

You agree to indemnify Octave Bay against any claims, losses, or expenses arising from your breach of these Terms or your misuse of our Website or deliverables.

13. Termination

Either party may terminate a service agreement in writing. Octave Bay may terminate if payment is overdue, if the Client acts in breach of these Terms, or if continuation becomes impractical. On termination, fees are due for all work completed to that date.

14. Dispute Resolution

Disputes should first be raised in writing and addressed through good-faith discussion. If unresolved within 30 days, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand. These Terms are governed by Thai law.

15. General Provisions

• These Terms constitute the entire agreement between Octave Bay and the Client, unless supplemented by a specific engagement agreement.
• If any provision is found unenforceable, the remaining provisions remain in full force.
• Failure to enforce any provision does not constitute a waiver of that right.
• These Terms may not be assigned by a Client without prior written consent.

16. Changes to These Terms

We may revise these Terms from time to time. Updates will be posted on this page with a revised date. Continued engagement with our Services after any update constitutes acceptance of the revised Terms.
